1. Acceptance of Terms
By accessing and using the website www.ensaur.com (the “Site”) and services of Ensaur Craftworks (“we,” “us,” “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Site on behalf of a company, you represent that you have the authority to bind that company to these Terms.

2. Use of the Site
You agree to use the Site only for lawful purposes related to sourcing custom promotional products and gifts. You are prohibited from uploading any harmful code, attempting unauthorized access, or using the site in a way that could impair its functionality.

3. Custom Orders & Quotations

  • Inquiries & Samples: Product images on the Site are for reference. Actual colors and finishes may vary. We strongly recommend requesting physical samples before placing bulk custom orders.

  • Design Files: By uploading design files, logos, or artwork, you warrant that you own or have the legal right to use and reproduce such materials, and grant us a license to use them solely for fulfilling your order.

  • Order Confirmation: All custom orders are FINAL upon your written approval of the production proof and payment of any required deposit. Changes or cancellations after approval may incur significant fees.

4. Pricing & Payment
Prices listed are for reference. Formal quotations are valid for 30 days. Payment terms (e.g., deposit balance) will be specified in the quotation/invoice. We reserve the right to adjust prices if material costs change significantly between quotation and order confirmation.

5. Intellectual Property

  • Our IP: All website content, logos, and product designs (unless created per your specification) are our intellectual property.

  • Your IP: Design files you provide remain your property. We will not use them for any purpose other than your order without your permission, except as required for manufacturing.

  • Shared IP: Co-created designs may be subject to a separate agreement.

6. Limitation of Liability
To the fullest extent permitted by law, our total liability for any claim arising from these Terms or your use of our services shall not exceed the total amount you paid for the specific order giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential damages.

7. Shipping, Delivery & Risk

  • Incoterms: Unless otherwise agreed, all shipments are made Ex Works (EXW) our facility in Zhongshan, China. You are responsible for all shipping costs, insurance, and import duties.

  • Delays: We are not liable for delays caused by force majeure events (e.g., natural disasters, strikes, major supply chain disruptions) or incorrect information provided by you.

  • Inspection: You must inspect goods upon delivery and report any discrepancies or damages within 5 business days.

8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People‘s Republic of China . Any disputes shall first be resolved through good-faith negotiation. If unsuccessful, disputes shall be submitted to the courts of [Shenzhen].

9. Changes to Terms
We reserve the right to modify these Terms at any time. The “Last Updated” date will be revised. Continued use of the Site after changes constitutes acceptance of the new Terms.
